25. All trademarks and logos used in the Website are the property of the ERA and/or the respective third party proprietors identified in this website. No licence or right is granted to You, and Your access to the Website should not be construed as a grant, by implication, estoppel or otherwise, of any license or right to use, in any manner, any trademarks or logos appearing on the website, unless with the prior written consent of the ERA or the relevant third-party partners.

 

26. NO WARRANTY. ERA provides the services on an “as is,” “with all faults,” and “as available” basis. The entire risk as to satisfactory quality, performance, accuracy, and effort remains with You. To the maximum extent permitted by applicable law, ERA, its employees, ERA Agents and third-party partners make no representations, warranties, or conditions, express or implied.

 

27. NO GUARANTEES. ERA makes no representations, warranties, or guarantees that the Website will meet Your requirements, be of satisfactory quality, fit for a particular purpose, non-infringing on the rights of third parties, compatible with all software and hardware, or secure.

Although ERA takes reasonable steps to ensure that the Website is secure and free from viruses and other malware, we do not guarantee that the Website is secure or free from viruses or other malware. Without limiting the generality of the foregoing, ERA shall not be liable for any loss or damage arising out of unauthorized access to or alterations to Your transmissions of data; any loss or damage arising out of or any disruption or non-availability of the Website; loss of profits, sales, business or revenue; loss of business opportunity, goodwill or reputation ; loss of use and/or costs of obtaining substitute goods or services; loss of anticipated savings; business interruption and any other intangible loss or damage. This remains the case even if we have been advised on the possibility of such damage.

 

For the avoidance of doubt, this clause shall not apply to any liability that cannot be excluded or limited by Singapore law (including liability for death or personal injury arising from ERA’s negligence).

 

30. CLAIM PERIOD: Any claim by either party against the other and any action must commence within 2 years after the date on which the cause of action arises. Beyond this period, the aggrieved party shall have no further claim whatsoever against the other party.

You agree and consent to ERA, its subsidiaries, is its agents/associates, and any of its affiliate companies and business partners collecting, using, processing and disclosing Your Personal Data, in accordance with these Terms and Conditions and our Privacy Policy, to:

 

• provide, offer and administer our various products and services, or otherwise as permitted by law respond to Your enquiries, providing You with assistance You request of us, maintaining and administering our products and services; process Your survey or questionnaire responses;
• market research and the collection of general statistical information using common internet technologies such as cookies;
• providing You with marketing information regarding other products and services (of ours or a third party);
• performing administrative operations (including accounting and risk management);
• quality assurance and training purposes and any other purpose identified at the time of collecting Your information.

• acts of God, including but not limited to fire, flood, earthquake, windstorm or other natural disaster;
• war, threat of or preparation for war, armed conflict, imposition of sanctions, embargo, breaking off of diplomatic relations or similar actions;
• terrorist attack, civil war, civil commotions or riots; nuclear, chemical or biological contamination or sonic boom;
• fire, explosion or accidental damage;
• collapse of building structures, failure of plant machinery, machinery, computers or vehicles;
• interruption or failure of utility service, including but not limited to electric power, gas or water;
• any labour disputes, including but not limited to strikes, industrial action or lockouts;
• any interruption to the Website and Application or Services outside our reasonable control including but not limited to any occurrence of an epidemic or a pandemic; and/or
• acts of any government or authority including but not limited to the enactment, publication or announcement of any advisory measures, guidelines, laws or regulations, to prevent or stop an epidemic or a pandemic.

 

33. INDEMNITY.  You irrevocably agree to fully indemnify ERA (including each of their respective directors, officers, employees, agents and representatives) and hold us harmless for any and all claims, liabilities, losses, claims, damages and expenses (including reasonable legal fees) arising from or in relation to (i) Your use or misuse of the Website; (ii) Your breach of any of the provisions of these terms; (iii) Your infringement of any of our intellectual property rights including the IP Content or (iv) any third parties claims against us arising from or in relation to the aforementioned events under (i), (ii) or (iii).

 

34. TERMINATION/SUSPENSION OF ACCOUNT/USE OF SERVICE.  ERA reserves the right to suspend (whether temporarily or permanently) or terminate Your account (if any) and/or Your use of the Website with or without notice to at our sole discretion under certain circumstances. Cause for such termination shall include without limitation:

• breaches or violations of these Terms and Conditions, or any of its policies, rules and regulations, governing the use of the Website;
• request by law enforcement or other government agencies;
• discontinuance or material modification to the Website and is services and part thereof;
• unexpected technical or security issues or problems;
• self-initiated account deletions;
• infringement of intellectual property rights of others; or
• extended period of inactivity.

 

35. ERA shall not be liable to You for such suspension or termination. If Your account is terminated or cancelled for any reason whatsoever, You shall not be entitled to any compensation whatsoever. For the avoidance of doubt, the suspension or termination shall not prejudice Our rights against You for the breach of these terms, for any amounts due or other obligations accrued prior to such suspension or termination.

 

36. CHOICE OF LAW/DISPUTES.   These Terms and Conditions are governed by the laws of Singapore, without giving effect to its conflict of law provisions. You agree to submit to exclusive jurisdiction of the Singapore courts for any and all disputes, claims and actions arising from or in connection with the Services and/or these Terms and Conditions.

 

37. ERA may assign to any party its rights and obligations under these Terms and Conditions, in whole or in part, at any time with or without notice to You. You may not assign, transfer or sublicense Your rights or obligations, if any, arising hereunder in connection with the Website and/or its services. ERA’s failure to act with respect to a breach by You or others does not waive its right to act with respect to subsequent or similar breaches.

 

38. RIGHTS OF THIRD PARTIES. No person who is not a party to this Agreement shall have any right under the Contracts (Rights of Third Parties) Act 2001 to enforce any terms of this Agreement.

 

39. HEADERS. The headers appearing in this Agreement are inserted only as a matter of convenience and in no way define, limit, construe or describe the scope or intent of the sections or clauses of this Agreement nor in any way affect this Agreement.

 

40. If any provision of these terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid, illegal, or unenforceable provision shall be deemed modified to the extent necessary to make it valid, legal, and enforceable.

 

41. NO WAIVER. The failure of ERA to enforce any right or provision of these terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these terms will be effective only if in writing and signed by an authorized representative of the ERA.

 

42. SURVIVAL. Any provisions of this Agreement that by their nature extend beyond the termination or expiration of this Agreement shall survive and remain in effect, including but not limited to provisions regarding no warranty, intellectual property rights, indemnification, limitations of liability, and any obligations necessary for the interpretation or enforcement of this Agreement.

 

43. FURTHER DISCLAIMERS. ERA and its employees, agents and third party partners are not bound by any representation, warranty, agreement, any express or implied terms impose by the applicable laws in relation to goods or services advertised on or purchased through the Website, and we accept no liability or responsibility whatsoever in relation to any advertisement and sale or purchase of any goods or services advertised on or purchased through the Website.
